THE SCRIPSMART GIFT CARD SWEEPSTAKES OFFICIAL RULES

NO PURCHASE NECESSARY. MAKING A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. PROMOTION DESCRIPTION: The ScripSmart Gift Card Sweepstakes (the “Sweepstakes”) begins on June 1, 2011 at 12:00:01 a.m. Pacific Time (PT) and ends on July 31, 2011 at 11:59:59 p.m. PT (the "Sweepstakes Period"). The Sweepstakes consists of a series of monthly prize drawings (each, a “Monthly Drawing”). Entries into each Monthly Drawing must be received during the applicable entry period as noted in Rule 4, below, in order to be included in the corresponding Monthly Drawing. By participating in the Sweepstakes, each participant unconditionally accepts and agrees to abide by and be bound by these Official Rules, by the Terms and Conditions of Use of the ScripSmart.com website (the “Website”), which may be found at http://scripsmart.com/terms, and by the decisions of ScripSmart (the "Sponsor"). Sponsor’s decisions shall be final and binding in all matters relating to this Sweepstakes. This Sweepstakes is subject to all applicable federal, state and local laws and regulations.

2. ELIGIBILITY: The Sweepstakes is open only to legal residents of the 50 United States and District of Columbia who are 18 years of age or older (19 or older if a resident of Alabama or Nebraska). Void elsewhere and where prohibited by law. Employees, officers and directors of Sponsor, its subsidiaries, affiliates, authorized agents, sales representatives, distributors, advertising agencies, promotional agencies and members of the immediate families (defined as including spouse, biological, adoptive or step-parents, siblings, children grandparents, and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above are NOT eligible to participate in this Sweepstakes. Non-eligibility or non-compliance with any of these Official Rules will result in disqualification.

   The Sweepstakes is void outside the 50 United States and D.C. and where prohibited.

3. HOW TO ENTER SWEEPSTAKES: (A) Access the Website at http://scripsmart.com and go to the “Sign Up page; (B) Write an original review rating the gift card of your choice from among all gift cards included in the Website. You must describe your honest impressions of, and your own personal, true experiences with your chosen gift card in English between 120 and 2,000 characters. Your review must comply with all requirements and restrictions noted in these Official Rules including but not limited to restrictions on content; (C) Provide any other required personal information; and (D) Submit your review in accordance with the on-screen instructions. Once received by Sponsor, your review will constitute one (1) entry into the Monthly Drawing that corresponds to the date on which your review is received (subject to your compliance with these Official Rules). Each properly completed and submitted review received by Sponsor will also be referred to herein as an “Entry” (collectively as “Entries”). Limit ten (10) Entries per person/email address per Monthly Drawing. If you exceed the Entry limitation noted above, all Entries you submit for the applicable Monthly Drawing will be disqualified. Each Entry must be different, and must review a different gift card.

   Entries will not rollover into subsequent Monthly Drawings. You must enter each entry period (see entry periods in Rule 4, below) in order to be included in the corresponding Monthly Drawing. The Website's database clock will be the official timekeeper for this Sweepstakes.

   All Entries become Sponsor’s property and will not be returned. Proof of submission of an Entry will not be deemed proof of receipt by Sponsor.

   By entering, each entrant acknowledges and agrees that his/her Entry will be posted for viewing by the general public on the Website.

4. MONTHLY PRIZE DRAWINGS/ENTRY PERIODS: On or about each of the dates noted in the chart below as “Drawing Dates”, Sponsor or its representatives will conduct a random drawing to select one (1) winner from among all eligible Entries received in accordance with these Official Rules during the applicable Monthly Drawing’s entry period (see entry periods in chart below). The substance of an Entry will have no bearing on the selection of the winner.

5. PRIZES: The winner of each Monthly Drawing will receive an Amazon.com eGift Card in the amount of $50.00. Total value of all prizes to be awarded for the Sweepstakes Period: $100.00.

   All income taxes on prizes are the winners’ responsibility. Use of gift cards is subject to all terms, conditions and policies imposed by the issuer. Prizes are non-assignable and non-transferable. No prize substitutions or cash redemptions except as provided herein. Sponsor reserves the right in its sole discretion to substitute a prize of equal or greater value if any prize is unavailable for any reason. Only the type and quantity of prizes described in these Official Rules will be awarded. All prizes will be awarded provided they are claimed properly in accordance with these Official Rules.

6. WINNER NOTIFICATION/PRIZE CLAIM: Each potential winner will be notified by email at the email address supplied upon entering. Potential Winner must reply to claim prize within 72 hours of initial notification. Potential winners may be required, at Sponsor’s discretion, to sign and return a liability/publicity release (where permissible), or to otherwise prove their eligibility, as a condition of being awarded a prize. All prizes must be claimed in the manner provided herein. . Failure to comply with these prize claim requirements or any of these Official Rules, or the Sponsor’s determination that a potential winner is ineligible to receive a prize, may result in prize forfeiture at the discretion of the Sponsor. If a prize is forfeited for any reason, it will be awarded in a random drawing from among the remaining Entries in the applicable Monthly Drawing pool.

7. ODDS OF WINNING: The odds of winning a prize are dependent upon the total number of eligible Entries received in accordance with these Official Rules during the entry period corresponding to each Monthly Drawing.

8. GENERAL CONDITIONS: By entering the Sweepstakes and/or accepting a prize (if applicable), entrants agree to release and hold Sponsor, its affiliates and subsidiaries, and the officers, directors and employees of each of the foregoing (collectively, the “Released Parties”) harmless from and against any liability whatsoever, and waive any and all causes of action, for any claims, costs, injuries, losses, or damages of any kind (collectively, “claims”), including without limitation third-party claims, arising out of or in connection with participation in the Sweepstakes, or from acceptance, receipt, possession and/or use or misuse of a prize (if applicable), or from the posting or publication of any review or portion thereof online or in any media, including without limitation claims related to rights of publicity or privacy, defamation or portrayal in a false light (whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

   By entering, entrants agree that the Sponsor is not responsible for: (i) Entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected or not received by Sponsor for any reason; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of Entries, or for destruction of or unauthorized access to, or alteration of, Entries; (iii) failed or unavailable hardware, network, software or telephone transmissions, or causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Sweepstakes, including without limitation virus, bugs and non-authorized human intervention; (iv) incorrect or inaccurate Entry-related information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Sweepstakes; (v) damage to entrants’ or any person’s computer and/or its contents; (vi) any typographical or other error in the printing or advertising of this offer, administration or execution of the Sweepstakes, or in the announcement of prize winners; or (vii) cheating or fraud by any entrant.

   By entering, entrants: (1) waive (to the extent allowed by law) all rights to claim punitive, incidental, consequential or any other damages, other than actual out-of-pocket expenses; (2) agree that the Sweepstakes will be governed by the laws of the State of Nevada, without regard to conflicts of laws principles, and all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action and shall be brought in a court of competent jurisdiction in the State of Nevada applying Nevada law; and (3) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorney's fees.

   Each potential prize winner hereby irrevocably agrees that upon his/her acceptance, receipt or use of a prize, the Sponsor may use his/her name, city and state of residence, likeness and/or voice for any and all advertising, marketing, promotion, public relations or other business operations or trade purposes whatsoever, in any and all media worldwide without limitation, approval, or further notice or compensation of any kind.

9. OTHER ENTRY REQUIREMENTS/RESTRICTIONS: Entries must be the original work of the entrant, in whole and in part. Modification of a third party’s pre-existing work is not considered to be an original work. By entering, each entrant represents that his/her Entry and each portion thereof does not infringe on the property rights or other rights of any third party, and that the Entry has not been submitted in any other promotion, won any award in any promotion, or been published previously.

   Sponsor reserves the right to disqualify and remove any Entry that it determines (in its sole discretion) to contain any content that is obscene, defamatory, dangerous, discriminatory, infringing, damaging to Sponsor, or any other entity, or otherwise inappropriate or unsuitable for publication to general audiences, or that contains any unauthorized third party trademarks or other third-party property. Sponsor further reserves the right to ban the entrant responsible for such Entry from future participation in any Sweepstakes or promotion Sponsor may offer and/or in the Sponsor’s Website generally.

   If an Entry includes any of the prohibited elements listed above, the Entry will be disqualified, along with the entrant who submitted it. The above list is not intended to be exhaustive; Sponsor may disqualify and remove from the Website any Entry if it includes any content that, in Sponsor’s opinion, is unsuitable for publication in connection with this Sweepstakes, or is it is not compliant with these Official Rules in any way.

   Do not post any review if it contains assertions that you know or should know to false, defamatory, abusive, obscene, fraudulent, deceptive, inaccurate, threatening, invasive of a person’s privacy, in violation of any intellectual property right of another, or otherwise in violation of any law.

10. Rights Granted by Entrants: By entering this Contest, you agree that:

    (A) the Sponsor and its licensees, successors and assigns will have the right to use, publish, modify, prepare derivative works of, license to third parties, edit, and/or distribute all or any part of your Entry, anywhere in the world and in perpetuity, for advertising, trade, promotion and publicity purposes in any manner and in any medium now known or hereafter devised, without limitation, without review or approval by you, and without compensation of any kind or additional notice to you; and

    (B) you will not now or in the future be paid or compensated in any way for your Entry or for granting the Sponsor any of the rights set out in these Official Rules.

    In connection with the foregoing, each Entrant agrees to forever release and hold Sponsor and its licensees, successors and assigns harmless from and against any liability of any kind arising from or in connection with any use of his/her Entry in accordance with the rights set out in these Official Rules. Sponsor may require any Entrant to execute documents to confirm the grant of the rights referenced herein; failure to do so may result in disqualification.

11. ENTRANTS’ ACKNOWLEDGMENTS/REPRESENTATIONS/WARRANTIES: By entering this Sweepstakes, each entrant acknowledges that: a) Sponsor has no obligations to entrant other than those contained in these Official Rules; and b) entrant is solely responsible for the content s/he posts. Further, by entering this Sweepstakes, each entrant warrants and represents that s/he has not included any restricted content in his/her Entry (see list of content restrictions above) and has otherwise complied with all of the entry requirements of these Official Rules.

12. DISQUALIFICATION: Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry processes or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person or company. CAUTION: ANY ATTEMPT BY ANY PERSON TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES. FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

13. EARLY TERMINATION: If, for any reason beyond Sponsor’s control, this Sweepstakes cannot be executed as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause(s) that may corrupt or affect the security, administration, fairness, integrity, safety or proper conduct of this Sweepstakes, or if this Sweepstakes is compromised or becomes technically corrupted in any way, electronically or otherwise, Sponsor hereby specifically reserves the right, to terminate, suspend or modify this Sweepstakes. If this Sweepstakes is terminated before the scheduled conclusion date of any entry period then in progress, the winner for the corresponding Monthly Drawing will be selected in a random drawing from among all eligible, non-suspect Entries received as of the date and time of such termination. Thereafter, no other prizes (if any) will be awarded for the remainder of the Sweepstakes Period.

14. WINNERS LIST: To receive an Official Winners List, mail a self-addressed, stamped envelope to: ScripSmart Winners, 8022 South Rainbow Blvd., Suite 210, Las Vegas, NV 89139. The Winners List will be available after all winners are confirmed and all prizes are awarded. The Winners List request must be received by December 31, 2011.

15. SPONSOR: This Sweepstakes is sponsored solely by ScripSmart, Las Vegas, NV.
